TERMS AND CONDITIONS OF APPLICATION AND PARTICIPATION

These Terms and Conditions (“Terms”) govern the application to and participation in the Robingood “Do Good” Community Partner Program (“Program”) operated by Robingood Inc., a  Wyoming corporation (“Robingood,” “we,” “us,” or “our”).

 

By submitting an application, you (“Applicant,” “Community Partner,” or “you”) acknowledge that you have read, understood, and agree to be bound by these Terms.

 

1. Eligibility

 

Applicants must be:

 

A recognized 501(c)(3) organization or a community-based group (such as a school team, club, or initiative) eligible to receive grants under Robingood’s Grant Route; and

 

Located and operating within the United States.

 

All Applicants must:

 

Be in good standing with all applicable laws;

 

Submit accurate and complete information; and

 

Authorize Robingood to verify eligibility and identity.

 

Robingood reserves the right to accept or deny applications at its sole discretion.

 

2. Program Overview

 

The Program allows approved Community Partners to receive charitable grants or donations from Robingood based on marketplace activity linked to their unique referral or tracking ID.

No purchase or payment is required to apply or participate.

 

3. Relationship of the Parties

 

Participation does not create any partnership, joint venture, agency, employment, or franchise relationship between Robingood and the Community Partner.

 

Community Partners are independent entities solely responsible for their own operations, compliance, and public statements.

 

Robingood does not guarantee approval, payout amounts, or duration of support.

 

4. Donations and Grants

 

All monetary contributions under this Program are made by Robingood Inc. directly to approved Community Partners as grants or charitable distributions.

 

Individual member purchases or employer subscriptions are not tax-deductible for consumers because they receive goods or services of equal or greater value.

 

Robingood retains sole discretion to determine the amount and timing of each grant or donation and may adjust per-reward values to account for inflation, processing fees, or other factors.

 

Robingood does not solicit or collect funds on behalf of Community Partners and does not accept earmarked contributions from the public.

 

All payouts are made monthly (after a minimum $100 threshold is reached) and processed 30 days in arrears via ACH or Stripe to the verified account on file.

 

5. Transparency and Oversight

 

Until the Community Partner Dashboard is launched, Robingood uses a Community Partner Oversight Board (CPOB) to review and verify payout summaries before disbursement.

 

Community Partners receive monthly email statements detailing the number of Robin Reward transactions and total grant value.

 

Robingood reserves the right to audit partner activity or revoke participation for misrepresentation or non-compliance.

 

6. Use of Name and Logo

 

By applying to or participating in the Program, you grant Robingood a non-exclusive, royalty-free, revocable license to use your organization’s name, logo, and public mission statement solely for the purpose of promoting your participation in the Program.

You may revoke this permission in writing at any time.

 

7. Public Representation

 

Community Partners agree not to:

 

Misstate their relationship with Robingood;

 

Imply that member purchases are tax-deductible; or

 

Represent themselves as agents or spokespersons for Robingood without written authorization.

 

8. Compliance with Laws

 

Partners must comply with all federal, state, and local laws, including charitable registration requirements (if applicable in their jurisdiction).

Registration does not imply endorsement by any state agency.

 

9. Modification or Termination

 

Robingood may modify, suspend, or terminate the Program or these Terms at any time upon notice via email or website posting.

Termination does not affect grants already earned prior to the effective date of termination

 

10. Indemnification

 

Community Partner agrees to indemnify and hold harmless Robingood Inc., its officers, employees, and affiliates from any claims arising out of or related to (1) Partner activities, (2) misuse of funds, or (3) misrepresentations in connection with the Program.

 

11. Limitation of Liability

 

Robingood Inc. shall not be liable for any indirect, incidental, or consequential damages arising from participation in the Program.

Total liability for any claim shall not exceed the amount of grants actually paid to the Community Partner during the 12 months preceding the claim.

 

12. Non-Disparagement

 

Both parties agree not to make false or defamatory statements about the other party in any public forum or media channel.

 

13. Governing Law and Dispute Resolution

 

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming.

Any dispute arising under these Terms shall be resolved through binding arbitration in Sheridan County, Wyoming, in accordance with the rules of the American Arbitration Association.

Either party may seek injunctive relief in a court of competent jurisdiction to prevent irreparable harm.

 

14. Notices

 

All official notices under these Terms must be sent to [email protected]

 and will be deemed received when acknowledged by Robingood in writing.

 

15. Entire Agreement

 

These Terms constitute the entire agreement between the Applicant and Robingood regarding the Program and supersede any prior communications or understandings.

If any provision is found invalid, the remaining provisions remain in full force and effect.

Robingood is an online marketplace. Participating Merchant Locations are solely resposible for fulfillment of all their products or services.
